Acceptance of Terms

By accessing www.ileaf.in or engaging iLeaf Solutions for any services, you confirm that:

• You are at least 18 years of age or have the legal authority to enter into binding agreements.
• You have read, understood, and agreed to these Terms and our Privacy Policy.
• If acting on behalf of a company or organization, you have authority to bind that entity to these Terms.

Services Offered

iLeaf Solutions provides the following technology services to clients across industries:

The scope, deliverables, timelines, and pricing for each engagement are defined in a separate Statement of Work (SoW) or Service Agreement executed between iLeaf and the client.

Intellectual Property

3.1 iLeaf's Property

Unless otherwise agreed in writing, all proprietary tools, frameworks, libraries, methodologies, templates, and pre-existing intellectual property used by iLeaf remain the exclusive property of iLeaf Solutions Pvt. Ltd.

3.2 Client Deliverables

Upon full and final payment of all agreed fees, iLeaf grants the client ownership or a perpetual license (as agreed in the SoW) over the custom deliverables developed specifically for that client.

3.3 Website Content

All content on www.ileaf.in including text, graphics, logos, design, and code is the intellectual property of iLeaf and may not be reproduced, distributed, or used without prior written permission.

Client Obligations

Clients engaging iLeaf's services agree to:

• Provide accurate, complete, and timely information, materials, and approvals required for project execution.
• Make payments as per the agreed schedule outlined in the contract or SoW.
• Ensure that any third-party content or materials provided to iLeaf do not infringe upon any intellectual property rights.
• Not use iLeaf's services for any unlawful, fraudulent, or harmful purposes.

Payment Terms

Unless otherwise specified in the project agreement:

• Projects require a non-refundable advance payment prior to commencement of work.
• Milestone-based payments are due upon completion of each defined phase.
• Final deliverables will be released only upon receipt of full and final payment.
• Late payments may attract interest at the rate of 1.5% per month.
• All prices are exclusive of applicable taxes (GST or other levies as applicable under Indian law).

Confidentiality

Both parties agree to keep confidential all non-public information shared during the course of engagement. This obligation survives the termination of any agreement and remains in effect for a period of three (3) years thereafter, unless a separate Non-Disclosure Agreement (NDA) specifies otherwise.

Limitation of Liability

To the maximum extent permitted by applicable law:

• iLeaf shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• iLeaf's total cumulative liability for any claim shall not exceed the total fees paid by the client in the three (3) months preceding the claim.
• iLeaf is not liable for delays or failures caused by factors beyond its reasonable control, including third-party APIs, client delays, force majeure events, or infrastructure outages.

Warranties & Disclaimers

iLeaf warrants that its services will be performed with reasonable skill and care. However:

• iLeaf does not guarantee that deliverables will be error-free or uninterrupted.
• The website www.ileaf.in is provided "as is" without warranties of any kind.
• iLeaf is not responsible for outcomes resulting from client misuse or modification of deliverables.

Termination

Either party may terminate a service agreement:

• For convenience with thirty (30) days' written notice.
• Immediately upon material breach by the other party that remains uncured after fifteen (15) days' notice.

Upon termination, the client shall pay for all work completed up to the termination date. iLeaf reserves the right to retain work-in-progress until all outstanding amounts are settled.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts located in Trivandrum, Kerala, India.

Amendments

iLeaf reserves the right to amend these Terms at any time. Changes will be posted on www.ileaf.in with an updated "Last Updated" date. Continued use of our website or services after such changes constitutes your acceptance of the revised Terms.
